These terms govern the purchase and use of KoaPanel software licenses, sold by PRIME SOFTWARE S.R.L.S., registered office Via General Cantore 33, 58100 Grosseto (GR), Italia, VAT and tax code 01784750539, REA GR-236550, certified email (PEC) primesoftwaresrl@arubapec.it, represented by its legal representative pro tempore ("Provider"). By buying a license or using the software you accept these terms. If you buy as a consumer (an individual acting outside their trade or profession), the protections of the Italian Consumer Code (Legislative Decree 206/2005) also apply.
Customers outside the European Union. For customers with a billing address outside the European Union (including the United Kingdom, Switzerland, the United States and India) the Provider is KOAGRP, LLC, a limited liability company formed in the State of Delaware (USA), File No. 10784683, registered office 131 Continental Dr, Suite 305, Newark, DE 19713, USA (registered agent Legalinc Corporate Services Inc.), a group company, under the terms on this page: it collects the payment with its own Stripe account and issues the receipt and the invoice, with no Italian VAT. The checkout, before payment, and the invoice always state the Provider of each order; orders placed before KOAGRP, LLC activated its payments stay with Prime Software S.r.l.s., renewals included. Support, the customer area and the license server remain run by Prime Software S.r.l.s. on the Provider's behalf.
1. Subject
The Provider grants a non-exclusive, non-transferable license to use the KoaPanel software for one server per license, for the paid period, within the limits of the chosen plan (number of websites). The software remains the Provider's property.
2. Free plan
The Free plan allows up to 3 websites on one server, for personal, non-commercial use only, with no support guarantee. It requires a customer area account: each account can have only one Free plan, and each server can have only one Free plan. The Provider may refuse or revoke Free plans obtained by circumventing these limits (for example with several accounts for the same person).
2a. Customer area account
Licenses, invoices and support requests are managed in the customer area (console.koapanel.app/account), accessed with a Prime Software ID account. The customer provides true and up-to-date information, keeps their credentials (password and optional two-step verification) safe and does not share them; they are responsible for what is done with their account and tell the Provider promptly if they suspect unauthorized access. The customer can ask for the account to be deleted at any time; orders and invoices are kept as required by law.
3. Prices, VAT and payment
Prices on the website exclude VAT. VAT is calculated at checkout based on the customer's country and type, and the total is shown before payment. Payment is made online through Stripe.
4. Subscription, renewal and cancellation
The license is a monthly or yearly subscription that renews automatically at the end of each period with the same payment method, at the current price. You can cancel at any time from the subscription management page (in the customer area or from the link in the license email): cancellation takes effect at the end of the period already paid, with no further charges.
5. License activation and use
The license is activated online and bound to the server it is activated on; the panel checks its status periodically. The customer can move the license to another server themselves from the customer area ("Move to another server"), at most once every 30 days; more frequent moves must be requested from support. Circumventing license checks, reselling or transferring licenses without written agreement is not allowed.
6. Expiry
If the license expires (cancellation or failed payment) the panel grants a 14-day grace period, then applies the Free plan limits without deleting data: existing sites keep running, only creating new sites beyond the limit is blocked.
7. Right of withdrawal
For consumers the license is activated right after payment, at their express request for immediate performance and with their acknowledgement of the resulting loss of the 14-day right of withdrawal, under Article 59(1)(o) of the Italian Consumer Code: this consent is collected at checkout and kept with the order. Customers buying as businesses or professionals have no right of withdrawal.
8. Refunds
No refunds are given after the license is activated, except as required by the legal guarantee. For consumers, the legal guarantee of conformity of digital content and services (Articles 135-octies and following of the Consumer Code) applies.
9. Updates and support
For the duration of the license the customer receives software updates and can request support from the panel, the contact form or by writing to supporto@koapanel.app. Support covers the operation of the software, not the management of the customer's websites.
10. Liability
The customer is responsible for their server, the hosted content and their own backups. To the extent permitted by law, the Provider is not liable for indirect damages, data loss or lost profits; total liability is limited to the amount paid in the last 12 months. These limitations do not apply in case of wilful misconduct or gross negligence, nor to consumers' mandatory rights.
11. Changes
The Provider may update these terms; changes apply from the next renewal and are notified by email. If you don't accept them you can cancel before the renewal.
12. Governing law and jurisdiction
Italian law applies. For customers buying as businesses or professionals the court of Grosseto (Italy) has exclusive jurisdiction. For consumers, the court of the consumer's place of residence or domicile has jurisdiction.
Contracts with KOAGRP, LLC are governed by the laws of the State of Delaware (USA), excluding the United Nations Convention on Contracts for the International Sale of Goods. For customers buying as businesses or professionals, the state and federal courts located in the State of Delaware have exclusive jurisdiction. Consumers keep the mandatory protections of the law of their country of residence, including the right to bring proceedings before the courts of that country.
